Le groupe des membres du partage de l’excédent du Régime de retraite de National Trust (le « groupe des membres ») est une association d’employés en activité, d’anciens employés et de retraités de la compagnie National Trust (« National Trust »). Nous sommes les membres et anciens membres du Régime de retraite de la banque Scotia pour les anciens employés de National trust (« le Régime »). Le comité du groupe des membres du partage de l’excédent du Régime de retraite de National Trust (« le comité ») a été créé par l’association pour le recouvrement équitable de l’excédent du Régime de National Trust (Association For the Equitable Recovery of the National Trust Pension Surplus (“AFTER”). L’AFTER est une association d’employés, d’anciens employés et de retraités de National Trust qui ont retenu les services du cabinet d’avocats Koskie Minsky pour les représenter dans leurs efforts pour recouvrer l’important excédent dans le Régime qui est à présent géré par la banque Scotia.

Ceux, parmi les membres du groupe de partage de l’excédent, qui ont financièrement soutenus ce processus de longue haleine, vont bientôt recevoir un remboursement des provisions financières initialement versées directement de la part de Koskie Minsky LLP, tel que promis au début. Avec ce remboursement, ces membres recevront une lettre en provenance des membres du groupe de partage de l’excédent qui ne font pas partie du comité de négociation, demandant aux membres du groupe de partage de l’excédent d’envisager de faire un don financier volontaire aux vus de reconnaître les efforts produits par le comité de négociation au cours de ces 13 dernières années. Les membres du groupe de partage de l’excédent qui n’avaient pas versé de provisions au commencement de cette affaire peuvent également avoir accès à cette lettre en cliquant sur l’onglet « Documents » à droite de cette page (document disponible uniquement en anglais).
- juillet 4, 2011 Cette brève mise à jour est là pour informer ceux, parmi les membres du groupe de partage de l’excédent qui on remplis et renvoyés leur formulaire de choix de paiement accompagné de tout document nécessaire à l’attention de National Trust au 31 janvier 2011, qu’ils devraient recevoir, ou recevront rapidement, le paiement de leur part d’excédent. Si vous avez rempli et renvoyé votre formulaire auprès de National Trust avec les documents nécessaires avant le 31 janvier 2011 et que vous ne recevez pas votre paiement de part d’excédent dans les deux prochaines semaines, veuillez contacter le service des retraites du centre d’appel dédié aux anciens employés de National Trust au 1-888-895-9933.
- mai 6, 2011 Cette brève mise à jour est pour informer les membres du groupe de partage de l’excédent qui ont rempli et renvoyé leur formulaire de choix de paiement de l’excédent ainsi que toute autre documentation nécessaire auprès de National Trust au 31 janvier 2011, recevront très prochainement une lettre individualisée de la part de National Trust décrivant le montant final d’excédent qui va leur être versé et confirmant le choix qu’ils ont fait quant à la manière selon laquelle ils souhaitent recevoir le paiement de leur part d’excédent. Si vous avez rempli et renvoyé votre formulaire de choix auprès de National Trust accompagné de tout document nécessaires avant le 31 janvier 2011 mais que vous ne recevez pas votre lettre dans les deux prochaines semaines, veuillez contacter le centre d’appel des services de retraite des anciens employés de National Trust au 1-888-895-9933.

Nous sommes ravis de vous informer que le surintendant a donné son consentement à la demande de retrait de l’excédent dans cette affaire. Maintenant que l’ensemble des approbations règlementaires ont été obtenues, la distribution de l’excédent peut intervenir. Tel qu’il était énoncé dans notre précédente mise à jour du 22 décembre 2010, une fois que les prestations de retraites accumulées, acquises par les membres en vertu du régime, auront été entièrement payées ou provisionnées, la distribution de l’excédent pourra alors se produire. Nous avons été informé que cela devrait intervenir au 30 juin 2011. Nous avons le plaisir de vous informer que le 3 décembre 2010, le régulateur des régimes de retraite de l’Ontario a indiqué qu’il avait l’intention de consentir à la Demande de retraite excédent. Les parties intéressées ont 30 jours pour demander une audition devant le Tribunal des services financiers. Si aucune audition n’est demandée dans ce laps de temps, cette proposition sera effective et l’approbation réglementaire finale sera obtenue. Une fois que les prestations de retraite accumulées dans le cadre du régime seront entièrement payées ou fournies, la distribution de l’excédent pourra avoir lieu. Nous avons été informés que ceci devrait avoir lieu au plus tard le 30 juin 2011. Tout comme nous l’indiquions dans notre précédente mise en ligne, afin de pouvoir procéder à la distribution du partage de l’excédent, une approbation réglementaire est requise. Cette approbation se compose de trois parties :
1 . approbation de la proposition de transfert de la part d’actifs du régime de la Banque Scotia pour les anciens employés de la compagnie National Trust (le régime National Trust) vers le régime de retraite de la Banque Scotia ;
2 . approbation du rapport de liquidation de National Trust, et :
3. approbation du retrait de l’excédent.
Nous sommes ravi de vous informer que le 31 août 2010, la première de ces approbations a été obtnue : le surintendant des services financiers de l’Ontario. (« le surintendant ») a approuvé le transfert des actifs du régime de National Trust vers le régime de retraite de la Banque Scotia. Nous attendons toujours les approbations réglementaires du surintendant quant au rapport de liquidation et quant à la demande de retrait de l’excédent dans cette affaire ; nous aviserons les membres du groupe de partage dès que les résultats seront connus.
En pratique, tous les membres du groupe de partage devraient avoir reçu leurs trousses de choix du paiement de l’excédent. Si vous ne l’avez toujours pas reçue, veuillez contacter le centre d’appel dédié aux anciens employés de National Trust au : 1-888-895-9933

Les membres du groupe de partage ont reçu, ou recevront prochainement de la part de National Trust, le trousse de choix relative à l’excédent qui fournit une estimation à jour de leur part individuelle d’excédent et leur demande de faire un choix sur la façon dont ils souhaitent recevoir leur part. Nous avons été informé qu’environ 80% des trousses seraient envoyées d’ici au 31 juillet 2010, le reste (surtout celles des retraités) devraient suivre d’ici la fin du mois d’août.
Les demandes de transfert d’actif et de retrait d’excédent ont été déposées auprès des autorités de régulation, nous attendons maintenant leur approbation. Si les approbations règlementaires sont reçues, les membres recevront leur paiement conformément à l’accord de partage de l’excédent.

L’envoi du choix de prestation aux membres du Régime ayant toujours des prestations de retraite dans ce dernier, est à présent terminé.
Le 18 mars 2010, National Trust a déposé une demande de retrait de l’excédent auprès du Surintendant des Services Financiers de l’Ontario. Nous sommes maintenant dans l’attente de l’approbation après quoi, les membres recevront leur paiement d’excédent, conformément à l’entente de partage de l’excédent.
Les membres du groupe de partage recevront dans les prochains mois, une trousse de la part de National Trust leur fournissant une estimation de leur part d’excédent et leur demandant de faire un choix quant à la façon dont ils souhaitent recevoir leur part.

National Trust a confirmé que les membres du régime qui ne sont pas encore bénéficiaires d’une retraite et qui ont des prestations de pré intégration dans le régime (qui, pour la plupart des membres, sont des prestations en rapport leurs services auprès de National Trust avant le 2 août 1999), ont reçus ou recevont prochainement, une trousse d’information leur expliquant les options relatives à leur régime de prestations de pré intégration, et exigeant qu’ils fassent un choix quant à la façon dont ils souhaitent que ces prestations soient versées.
Tel qu’indiqué dans la mise à jour du 23 décembre 2009, ce qui précède concerne uniquement les droits à la retraite qui doivent être traités avant que l’excédent ne puisse être distribué. Pour cette raison, l’ensembe des membres du groupe de partage de l’excédent ne recevra pas cet envoi,
À la lumièree des inquiétudes exprimées par les membre à l’égard des retards dans la finalisation de la distribution anticipée de l’excèdent, notre représentant jurdique et le comité ont discuté avec National Trust et ses conseillers juridiques du calendrier des étapes à venir. Le 2 février 2010, National Trust affiramait de nouveau son engagement dans l’accord de partage de l’excédent et précisait que les retards rencontrés récemment étaient liés à la préparation de dépôts réglementaires applicables. Toutefois, ils nous ont assuré qu’ils avaient les meilleurs intérêts des membres du régimes à l’esprit et que chaque retard réglementaire, s’ils étaient rencontrés, n’étaient pas du ressort de National Trust et du Comité
Votre comité continuera de travailler en étroite collaboration avec National Trust et ses conseillers dans l’espoir de parvenir à une distribution le plus tôt possible. Si aucun obstacle réglementaire imprévu n’est rencontré, nous espérons que la distribution de l’excédent aura lieu en octobre-novembre de cette année.
- novembre 17, 2009 National Trust nous a fait savoir que l'achat de rentes est terminé pour les retraités, en application de l'accord de partage de l'excédent. Les bénéficiaires d'une pension de retraite doivent avoir reçu, ou recevrons prochainement, une trousse d'informations de la part des fournisseurs de rentes.

En vertu de loi sur les pensions de retraite, l’administrateur du Régime de National Trust a écrit à tous les membres du Régime ayant droit à des prestations dans le cadre du Régime de National Trust pour les informer de la liquidation de celui-ci au 30 avril 2009. Il s’agit de la lettre dont il est question dans la mise à jour du 8 mai 2009 ci-dessous. Nous avons reçu de nombreuses questions des autres membres du groupe de partage (les membres aux droits acquittés après le 24 juin 1997) qui étaient inquiets de ne pas avoir reçu de copie de celle-ci. Cette lettre ne leur a pas été envoyée parce qu’ils n’ont plus de droits aux prestations à l’égard du Régime de retraite et, par conséquent, la loi n’imposait pas que cette dernière leur soit envoyée. Toutefois, nous tenons à confirmer à l’ensemble des membres du groupe de partage, qu’ils recevront bien leur part de l’excédent, conformément aux informations reçues précédemment, à condition que la proposition reçoive toutes les approbations réglementaires nécessaires.

Les choses se déroulent bien et nous avons été informés par National Trust que les principales sociétés d’assurances canadiennes avaient été sélectionnées pour l’achat de rentes pour les membres du Régime de National Trust actuellement titulaires d’une pension de retraite mensuelle provenant du Régime de retraite, et que l’achat de rentes est conclu. Tous les retraités pour qui une rente est achetée, recevront des informations individuelles de National Trust à l’égard de cet achat.
Bien qu’il ne soit pas prévu que la distribution de l’excédent ne se fasse avant mi, voire fin 2010, un nouveau relevé personnalisé indiquant un montant prévisionnel du paiement de l’excédent devrait vous être adressé au 1er ou 2nd trimestre 2010.

La prochaine étape importante de la mise en uvre de cet accord, à savoir la liquidation du régime de retraite de la banque Scotia pour les anciens employés de la compagnie National Trust (« le Régime »), a commencé depuis le 30 avril 2009.
Tous les membres du groupe de partage possédant des droits sur le Régime (c’est-à-dire les membres actifs, membres différés, ou les retraités), devraient déjà avoir reçu, par la poste, un Avis de liquidation du Régime (cet Avis est inclus dans un document intitulé « Avis de proposition de la liquidation du Régime en vigueur à compter du 30 avril 2009 » (l’ « Avis »)). Comme il n’y a aucune obligation légale de procéder ainsi, l’administrateur du régime n’a pas envoyé l’avis aux membres qui n’ont plus de droits attachés aux prestations en vertu du régime (c’est-à-dire les membres aux droits acquittés).
- avril 9, 2009 Suite à la décision du Tribunal des services financiers dans l'affaire Montréal Trust, et après de nouvelles discussions avec National Trust concernant la mise en uvre définitive de l'accord de partage de l'excédent, nous avons été avisés par National Trust de leur intention de liquider le Régime au cours des prochains mois. Bien que les étapes à venir soient soumises à l'approbation des autorités réglementaires, nous estimons que cette question est maintenant prête à passer aux étapes finales menant au partage. De nombreux membres ont contacté le Comité et Koskie Minsky s.r.l. pour connaître l'impact des événements récents sur les marchés financiers internationaux sur l'excédent du Régime. National Trust nous a fait savoir que des mesures avaient été prises pour s'assurer que les excédents d'actifs du Régime ne soient pas exposés aux investissements à haut risque, tels que les actions. Ainsi, l'excédent disponible pour le partage entre National Trust et les membres n'a pas été matériellement affecté par ces récents événements et reste, au 31 décembre 2008, comparable aux montants préalablement annoncés lors des réunions d'information.
- janvier 7, 2009 Le Tribunal des services financiers de l'Ontario a rendu sa décision dans l'affaire Montréal Trust. Le Tribunal des services financiers a accueilli l'appel et a demandé au surintendant de consentir à la répartition de l'excédent. En conséquence, les applications nécessaires dans l'affaire National Trust pouvaient commencer. Le Comité et les conseillers juridiques ont commencer des discussions avec National Trust pour déterminer le calendrier des applications nécessaires.
- juillet 11, 2008 Madame la juge Lax a émis une ordonnance révisant les termes de l'ordonnance de règlement. Cet amendement a été demandé par les parties pour veiller à ce que les obstacles réglementaires rencontrés dans l'affaire Montréal Trust ne le soient pas dans cette affaire.
- mars 10, 2008 À la lumière de l'avis de proposition déposé par le surintendant des services financiers de l'Ontario le 10 Mars 2008 dans une affaire distincte (l'affaire Montréal Trust), dans lequel il refusait de consentir à une répartition de l'excédent, National Trust décida de retarder la liquidation de son Régime en attendant l'issue de l'appel de la décision de Montréal Trust auprès du Tribunal des services financiers de l'Ontario.
- décembre 13, 2007 Par ordonnance du 13 décembre 2007, l'honorable Madame la juge Lax a approuvé le règlement de cette demande et les termes de l'accord de partage de l'excédent.
- octobre 5, 2007 L'honorable Madame la juge Lax de la Cour supérieure de justice de l'Ontario a certifié la demande comme étant un recours collectif.
- juin 21, 2007 Un accord de partage des excédents entre National Trust et les membres du Régime a été conclu.
- mai 21, 2004 La Cour suprême du Canada a rendu sa décision dans l'affaire Monsanto Canada Inc. et autres c. l'Ontario (Le Surintendant des services financiers de l'Ontario), [2004] 3 R.C.S. 152, 2004 CSC 54, dans lequel AFTER a intervenu. Dans sa décision, la Cour suprême a estimé que, sur la liquidation partielle d'un Régime de retraite, la législation de l'Ontario exige qu'une partie de l'excédent d'actifs soit payée sur le Régime de retraite.

Foire aux Questions
1. Y a-t-il d’autres approbations réglementaires formelles qui doivent être obtenues avant la distribution de l’excédent?
Non.
2. Qu’est-ce qui doit être mis en place avant que l’excédent ne soit distribué aux membres du groupe de partage?
Avant que l’excédent ne puisse être distribué aux membres du groupe de partage, les prestations basiques des participants au régime doivent être réglées. Au printemps de 2010, les membres titulaires de prestations dans le régime ont reçu un formulaire d’option afin d’indiquer la façon dont ils voulaient régler ceux-ci. National Trust et ses actuaires ont traité ces demandes. Nous avons été informés que ce processus, comprenant le paiement des valeurs de rachat à certains membres, et l’achat groupé de rentes pour les autres membres, devrait être en grande partie achevé d’ici mi-Mars, 2011.
Une fois les prestations basiques des participants au régime réglées, National Trust en informera le surintendant qui donnera ensuite son approbation pour procéder à la distribution de l’excédent.
3. Une fois les prestations basiques des participants au régime réglées, combien de temps faudra-t-il pour que l’excédent soit distribué aux membres du groupe de partage?
Le traitement des formulaires d’option par l’administrateur et les fiduciaires du régime devrait prendre approximativement trois mois pour être achevé ; il est prévu que les paiements d’excédent seront effectués aux membres du groupe de partage d’ici fin juin 2011.
